Terms of Service

These Terms of Service ("Terms") govern your use of HuginnCloud ("Service," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HuginnCloud provides a WebSocket relay service that enables remote access to locally-running Huginn instances ("satellites"). We act as a transparent relay only — we do not host, process, or store your agent conversations, code, or session data.

The Service is provided on a best-effort basis. We make no guarantee of uninterrupted availability, specific latency, or that relay connections will remain established at all times.

2. Accounts

You must provide a valid email address and create a password to use the Service. You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account.

You must be at least 13 years of age to create an account. By creating an account, you represent that you meet this requirement.

3. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit malware, viruses, or other malicious code
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any system or account
• Relay content that infringes third-party intellectual property rights
• Engage in any activity that imposes an unreasonable load on our infrastructure

We reserve the right to suspend or terminate accounts that violate these terms without notice.

4. Subscriptions and billing

HuginnCloud offers a free 30-day trial and paid subscription plans. Subscriptions are billed monthly. Prices are listed at huginncloud.com/pricing.

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for keeping your payment information current.

Subscriptions may be cancelled at any time from the billing portal. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

If a payment fails, we will attempt to retry the charge. If payment cannot be collected, your account may be downgraded or suspended.

5. Trial period

New accounts receive a 30-day free trial with access to up to 3 connected satellites. At the end of the trial, continued access requires a paid subscription. We reserve the right to modify trial terms at any time.

6. Satellite limits

Your subscription plan determines the maximum number of satellites you may connect simultaneously. Connecting a satellite beyond your plan limit will be rejected. Plan limits are listed at huginncloud.com/pricing.

7. Relay-only service; your data

HuginnCloud operates as a transparent relay. Traffic transmitted between your browser and your satellite passes through our infrastructure but is not stored, logged, or inspected by us. You retain full ownership of all data transmitted through the Service.

You are solely responsible for the content you transmit through the Service. We are not responsible for the security, legality, or appropriateness of any content relayed through your satellites.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUGINNCLOUD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HUGINNCLOUD DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY RELAY CONNECTION WILL REMAIN ESTABLISHED OR THAT TRAFFIC WILL BE DELIVERED; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE AVAILABLE IN ANY PARTICULAR LOCATION OR AT ANY PARTICULAR TIME.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUGINNCLOUD, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES — EVEN IF HUGINNCLOUD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL HUGINNCLOUD'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO HUGINNCLOUD IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless HuginnCloud and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) content you transmit through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Third-party services

The Service integrates with Stripe for payment processing and runs on Amazon Web Services infrastructure. Your use of these third-party services is subject to their respective terms and privacy policies. HuginnCloud is not responsible for the acts or omissions of third-party service providers.

12. Service modifications and termination

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify you of material changes in advance.

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms or if we determine that your use of the Service poses a risk to other users or our infrastructure.

Upon termination, your right to use the Service ceases immediately. All active satellite connections will be disconnected. We have no obligation to retain account data after termination, though we may retain it for up to 30 days before deletion.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the site. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
